Unifold – Terms of Use

Limited Technical Agent Model

These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and Unifold, Inc., a Delaware corporation ("Unifold," "we," "us," or "our").

Unifold provides software that facilitates user-directed blockchain transactions by interacting with third-party protocols, including Relay and other providers ("Third-Party Protocols").

By accessing or using Unifold, you agree to these Terms.


1. Eligibility

You represent that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • Your use of Unifold complies with applicable law
  • You are not subject to applicable sanctions or export restrictions

2. Nature of the Service

2.1 Software Platform

Unifold provides a software interface that enables users to initiate blockchain transactions using Third-Party Protocols.

Unifold does not operate a blockchain, liquidity pool, or exchange.

2.2 Limited Technical Agency (Important)

For certain transactions, Unifold may generate or facilitate access to a temporary or embedded blockchain wallet ("Platform Wallet").

By using the Service, you explicitly authorize Unifold to act as your limited technical agent, solely for the purpose of:

  • Submitting user-directed transactions
  • Forwarding assets to Third-Party Protocols specified by the user
  • Executing transactions exactly as instructed by the user

This authorization is:

  • Transaction-specific
  • Non-discretionary
  • Revocable by discontinuing use of the Service
  • Limited to technical execution

Unifold has no authority to:

  • Use assets for its own purposes
  • Redirect assets to destinations not specified by the user
  • Retain assets beyond transaction execution
  • Exercise independent judgment over transactions

3. No Custody; No Commingling

Unifold does not act as a custodian.

Specifically:

  • Assets associated with a Platform Wallet are not commingled with Unifold's assets
  • Unifold does not treat user assets as its own
  • Platform Wallets exist solely to facilitate execution of user-authorized transactions

Any access Unifold has to a Platform Wallet exists only to carry out user instructions.


4. Platform Wallets

4.1 Platform Wallet Creation

Platform Wallets may be generated through Unifold's software to facilitate transaction execution.

You acknowledge that:

  • Platform Wallets are temporary and purpose-limited
  • You may be required to authorize Unifold's use of such wallets
  • Private keys or signing authority may be programmatically accessible to Unifold solely to execute authorized transactions

4.2 User Responsibility

You acknowledge and agree that:

  • Blockchain transactions are irreversible
  • Errors in wallet addresses, assets, or networks may result in permanent loss
  • Unifold is not responsible for user-provided errors

5. Transactions and Execution

All transactions:

  • Are initiated at the user's direction
  • Are executed via Third-Party Protocols
  • Are subject to blockchain network conditions
  • May fail, be delayed, or execute at different prices than expected

Unifold does not guarantee execution outcomes.


6. Third-Party Protocols (Including Relay)

Unifold relies on Third-Party Protocols for transaction routing and execution.

You acknowledge that:

  • Third-Party Protocols are not controlled by Unifold
  • Unifold does not set pricing, liquidity, or routing logic
  • Failures or vulnerabilities in Third-Party Protocols are outside Unifold's control

Your use of Third-Party Protocols is at your own risk and may be subject to their terms.


7. Fees and Network Costs

You are responsible for:

  • Blockchain network fees
  • Fees imposed by Third-Party Protocols
  • Any applicable liquidity or validator fees

Unifold does not control network fees.


8. Prohibited Use

You may not use Unifold to:

  • Violate laws or regulations
  • Engage in fraud, manipulation, or deception
  • Launder money or finance terrorism
  • Circumvent security or usage limits

Unifold may suspend or terminate access for risk or compliance reasons.


9. No Fiduciary Duty; No Advice

Unifold does not owe you any fiduciary duties.

Information provided is for informational purposes only and does not constitute financial, legal, tax, or investment advice.


10. Disclaimer of Warranties

UNIFOLD IS PROVIDED "AS IS" AND "AS AVAILABLE."

Unifold disclaims all warranties to the fullest extent permitted by law.


11. Limitation of Liability

To the fullest extent permitted by law:

  • Unifold is not liable for indirect or consequential damages
  • Unifold is not liable for loss of digital assets
  • Unifold's aggregate liability shall not exceed $100 USD

12. Indemnification

You agree to indemnify Unifold from claims arising out of:

  • Your use of the Service
  • Your instructions or transactions
  • Your violation of these Terms

13. Arbitration and Class Action Waiver

Any dispute shall be resolved by binding individual arbitration under the rules of the American Arbitration Association.

You waive the right to a jury trial and to participate in class actions.

You may opt out within 30 days by emailing legal@unifold.io.


14. Governing Law

These Terms are governed by the laws of the State of Delaware.


15. Changes

Unifold may update these Terms at any time. Continued use constitutes acceptance.
